Terms and Conditions
Objective
LANZ.Dental will use its best endeavours to match practices needing staff and their specific requirements
with suitable registered candidates.
The term "Client" refers to employers who are using the services of LANZ.Dental.
The term "Job seeker" refers to those individuals registered with LANZ.Dental and who wish to seek employment.
Obligations of LANZ.Dental (LANZ)
LANZ will not be liable for any damages, financial or otherwise resulting from your contact and use of our services. Any contract to work,
including full time, part time, locum, emergency, or occasional hours, is between the Client and Job Seeker only. LANZ shall not be liable
for any damages, financial or otherwise if either party does not fulfil the contract.
Obligations of the Client and Job Seeker
The Client and Job Seeker undertakes to take all reasonable precautions against the access of LANZ.Dental information from unauthorised persons.
Registered Job Seekers may not be employed by a currently registered Client without prior approval and payment of appropriate LANZ.Dental fee by the employer.
Registered Job Seekers must inform LANZ.Dental of any independent approaches to potential employers, LANZ registered or otherwise. This prevents embarrassment from all parties concerned.
Confidentiality
Confidentiality of candidate details must be respected by the Client and Job Seeker and not knowingly divulged to any third party without
prior consent from LANZ.Dental.
Liability
LANZ.Dental does not verify or guarantee any Job Seeker or Client details. The Client shall satisfy itself as to the suitability of the Job
Seeker and shall take up any references provided by any applicant before engaging such Job Seeker. The Client shall be responsible for
obtaining work and any other permits, for the arrangements of medical examinations and/or investigations into the medical history of the Job
Seeker and satisfy any medical and any other requirements or qualifications required by the law.
Fees
Standard fees for placements shall apply as illustrated in the fee schedule, unless the Client has reached an agreement
to alter or be exempt from these rates.
Practice Purchases
Should a LANZ.Dental Job Seeker subsequently purchase a practice within the first 36 months of their placement, LANZ will charge a 3%
commission fee on the sale price.
Payments
Recruitment invoices will be emailed to the employer within 7 days of the commencement of employment. Full payment will be made no later
than seven (7) days from date of invoice. If the recruitment fee is on a 12 monthly retainer schedule, then the monthly invoice will be
due on the 20th of the following month. Locum placements will be invoiced at the end of each month, with the client providing the
gross revenue for the candiate for that month, by the next day following the end of the month.
Valuation and Business Advice emails will be emailed to Clients and paid before a valuation or business advice can commence.
Sale or Change of Ownership of Practice
If, following the introduction, placement or engagement of a Clinician or Staff Member by LANZ.Dental, the Practice is sold, transferred,
assigned, merged, or otherwise undergoes a change in ownership or control before all fees, charges or other amounts owing to LANZ.Dental in
respect of that placement have been paid in full:
Outstanding fees remain payable. All fees, charges and other amounts owing to LANZ.Dental in connection with the placement or engagement of
the Clinician or Staff Member shall remain due and payable notwithstanding the sale, transfer or change of ownership of the Practice. The
practice which sign this agreement are responsible for the fee.
Payment prior to settlement. The Practice and its owners agree that all outstanding amounts owing to LANZ.Dental must be paid in full to
LANZ.Dental prior to, or no later than, settlement of the sale or transfer of the Practice.
Notification of sale. The Practice must promptly notify LANZ.Dental in writing if it proposes to sell, transfer or otherwise dispose of the Practice, or if there is to be any change in ownership or control, and must provide LANZ.Dental with reasonable details of the proposed transaction and settlement date.
Settlement arrangements. The Practice authorises LANZ.Dental to provide a statement of account setting out any outstanding amounts owing in
respect of the placement. The Practice agrees to ensure that its legal and financial advisers are instructed to take those outstanding
amounts into account as part of the settlement of the transaction.
Continuing liability. A sale, transfer or change in ownership of the Practice does not release the existing Practice owner(s), company,
partnership or other contracting entity from any obligation or liability owed to LANZ.Dental under these Terms of Trade, unless LANZ.Dental
agrees otherwise in writing.
New owner liability. Where the purchaser or incoming owner agrees to assume any obligations of the Practice to LANZ.Dental, such assumption
must be confirmed in writing by LANZ.Dental. Unless and until LANZ.Dental confirms otherwise in writing, the existing Practice owner(s) and
contracting entity remain liable for all outstanding amounts.
Costs and enforcement. If LANZ.Dental is required to take steps to recover any amount owing as a result of a sale, transfer or change in
ownership of the Practice, the Practice and/or the party liable for the debt will be responsible for LANZ.Dental’s reasonable costs of
recovery, including reasonable legal and collection costs, to the extent permitted by law.
Survival. This clause survives any sale, transfer, assignment, change in ownership or change in control of the Practice and continues to apply until all amounts owing to LANZ.Dental have been paid in full.
Additional costs
Where the Client instructs LANZ.Dental to arrange specific advertising, third party services, or any services other than the supply of
candidate curriculum vitae, candidate sumamry profile, short list, reference checks and/or police vetting - then LANZ.Dental may invoice the
Client for all costs associated with the additional services.
Debt Recovery
The Client must pay LANZ.Dental costs including debt collection and legal fees, on a full indemnity
bases (as between solicitor and client), of and incidental to, the enforcement of LANZ.Dental remedies and powers under these terms.
Termination
Both parties may terminate the Agreement at any time for any reason upon written notice of one month to the other party, with the Client
making payment of any outstanding fees owed.
Revision
LANZ.Dental reserves the right to revise these terms and conditions at any time.
Indemnity
The Client or Job Seeker hereby agrees to indemnify LANZ.Dental Ltd in respect of all and any claims.
